Restorative Wellness Solutions, LLC  PRACTITIONER TRAINING PROGRAM TERMS OF ENROLLMENT The following Terms of Enrollment govern your participation in the Program presented by Restorative Wellness Solutions, LLC (“Company”).  Please read these Terms of Enrollment carefully. By visiting and using the Course Platform you agree that your use of our Site, participation in our Program, and use of Program Materials (listed in Program descriptions below, as may be amended from time to time)  is governed by the following terms and conditions, together with our Terms of Service and Privacy Policy. Enrollment is subject to receipt of a completed application and approval by the Company. The Company reserves the right to accept or decline any student. A telephone interview may be requested by the Program Director or her designee. Programs offered by the Company include the following: [  ] Mastering the Art and Science of Gastrointestinal Healing (12-week program)
  • $4,000 which covers:
    • Delivery method: Online, with live instruction
    • Deliverables: Course materials, access to lab testing resources, and business templates, community, and professional support
    • Workbooks/Handouts: Comprehensive digital materials: templates, course handouts and presentations, case-studies, and other relevant material
    • Live Component: Live classroom on Wednesdays, bi-weekly office hours, and three additional practicum sessions (recordings may also be provided for review)
    • Group Interaction: Live classroom on Wednesdays, bi-weekly office hours, and three additional practicum sessions
  • Once successfully completed (as defined below): 
    • Exam: Module quizzes, case-study project, and course finals
    • Your designation once the course is successfully completed: Certified Restorative Wellness Practitioner (RWP-1)
    • On-going recertification needed: Annual test on updated curriculum or sooner as may be required by the Company

  • $4,300 which covers:
    • Delivery method: Online, with live instruction
    • Deliverables: Course materials, access to lab testing resources, and business templates, community, and professional support
    • Workbooks/Handouts: Comprehensive digital materials: templates, course handouts and presentations, case-studies, and other relevant material
    • Live Component: Live classroom on Wednesdays and bi-weekly office hours
    • Group Interaction: Live classroom on Wednesdays and bi-weekly office hours
  • Once successfully completed (as defined below): 
    • Exam: Module quizzes, case-study project, and course finals
    • Your designation once the course is successfully completed: Certified Restorative Wellness Practitioner (RWP-2 or  RWP-3, depending upon number of certification level programs completed)
    • On-going recertification needed: Annual test on updated curriculum, or sooner as may be required by the Company

  • $4,500 which covers:
    • Delivery method: Online, with live instruction
    • Deliverables: Course materials, access to lab testing resources, and business templates, community, and professional support
    • Workbooks/Handouts: Comprehensive digital materials: templates, course handouts and presentations, case-studies, and other relevant material
    • Live Component: Live classroom on Wednesdays and bi-weekly office hours
    • Group Interaction: Live classroom on Wednesdays and bi-weekly office hours
  • Once successfully completed (as defined below): 
    • Exam: Module quizzes, case-study project, and course finals
    • Your designation once the course is successfully completed: Certified Restorative Wellness Practitioner (RWP-2 or  RWP-3, depending upon number of certification level programs completed)
    • On-going recertification needed: Annual test on updated curriculum, or sooner as may be required by the Company

  • $5,000 which covers:
    • Delivery method: Online, with live instruction
    • Deliverables: Course materials, access to lab testing resources, and business templates, community, and professional support
    • Workbooks/Handouts: Comprehensive digital materials: templates, course handouts and presentations, case-studies, and other relevant material
    • Live Component: Live classroom on Wednesdays and bi-weekly office hours
    • Group Interaction: Live classroom on Wednesdays and bi-weekly office hours
  • Once successfully completed (as defined below:)
    • Exam: Module quizzes, case-study project, and course finals
    • Your designation once the course is successfully completed: Certified Master Restorative Wellness Practitioner (MRWP)
    • On-going recertification needed: Annual test on updated curriculum
Company may, at its sole discretion, limit, suspend, or terminate your participation in any of its programs, live, recorded, social media-based or digital without refund or forgiveness of remaining payments if:
  • you decline to complete or violate the terms of, the Student Code of Conduct, attached, as Exhibit A;
  • you become disruptive or difficult to work with;
  • you fail to follow the program guidelines; or,
  • you impair the participation of our instructors or participants in our program(s).
Successful completion is subject to the determination of the Company, within its sole and absolute discretion. Upon successful completion of one of the above Programs, you will receive a Certificate of Completion.  Successful completion of the Program does not provide you with any professional credentials, and does not give you the authority or capacity to perform any work for which you do not otherwise possess the requisite and appropriate credentials. Successful completion of the Program also does not authorize you to teach anything that you have learned in the course of the Program to any third parties, including other licensed professionals. You may not represent yourself as a graduate of any of the Company’s Programs or as having studied with Restorative Wellness Solutions, LLC, until you have received a Certificate of Completion. Upon successful completion of the Program:  
  • You may identify yourself on your website, marketing and promotional materials as      having a Certificate of Completion in the Program, and may use the designation listed above for your Program.
  • You may use the graduate seal on your website.
  • You will be able to use our tools, resources, materials, guidelines and support, subject to our brand guide and other policies. 
  • You understand and agree that we may implement requirements for you to maintain this credential, including but not limited to an annual assessment of your review of updates to the curriculum.
  • You will sign the Company’s Professional Standards and Code of Ethics, attached hereto as Exhibit B. 
                        You hereby acknowledge and agree that:  
  • The Program is not intended as a substitute for, or in lieu of, other health and wellness training, certification, accreditation and/or licensing.
  • Your participation in this Program is not a substitute for any licensing requirements that may be applicable to you and does not independently authorize you to render care, prescribe regimens or prescribe medications or supplements.
  • Your activities in the health and wellness field remain subject to your education, qualifications and licensure.
  1. Content:
  • Program education and information is intended for a general audience and does not purport to be, nor should it be construed as, specific advice, tailored to any individual.   
  • All materials, procedures, policies, and standards, all teaching manuals, all teaching aids, all supplements and the like that have been or will be made available Company or its designated facilitators, or any other source, oral or written, are for personal use in or in conjunction with this training program only.  
  • Program content and client handouts and resource material is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of the Company, or its designated agent. 
  • Program material and/or protocols contained therein may not be shared with other medical or health-related practitioners and may not be recommended to third parties who are not under your care.
  • The information contained in program material is strictly for educational purposes. Therefore, if you wish to apply ideas contained in this material, you are taking full responsibility for your actions.
  • We assume no responsibility for errors or omissions that may appear in any program materials. 
  • User names and passwords may not be shared with any third parties. You are responsible for maintaining the confidentiality of your password and account on the course website and are responsible for all activities (whether by you or others) that occur under your password or account. You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session.
  • Any violation of the Company’s policies regarding content usage shall result in the immediate termination of your enrollment without refund.
  1. Privacy & Confidentiality:
We respect your confidential and proprietary information ideas, plans and trade secrets (collectively, "Confidential Information") and must insist that you respect the same rights of fellow Program participants and of the Company. Thus, you agree:
  • not to infringe any Program-participants or the Company's copyright, patent, trademark, trade secret or other intellectual property rights;
  • that any Confidential Information shared by Program participants or any representative of the Company is confidential and Proprietary, and belongs solely and exclusively to the Participant who discloses it or the Company;
  • not to disclose such information to any other person or use it in any manner other than in discussion with other Program participants during Program sessions;
  • that all materials and information provided to you by the Company are its confidential and proprietary intellectual property belong solely and exclusively to the Company, and may only be used by you as authorized by the Company;
  • the reproduction, distribution and sale of these materials by anyone but the Company is strictly prohibited;
  • that if you violate, or display any likelihood of violating, any of your agreements contained in this paragraph the Company and/or the other Program participant(s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.
While you are free to discuss your personal results from our programs and training, you must keep the experiences and statements, oral or written, of all other participants in the strictest of confidence
  1. Limitation of Liability:
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL WE, OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, OUR SITE OR PROGRAM MATERIALS, INCLUDING OUR MESSAGING, BLOGS, COMMENTS OF OTHERS, BOOKS, EMAILS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH OUR SITE OR PROGRAM MATERIALS OR BY US IN ANY WAY, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. (BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY AND THE LIABILITY OF OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW.) FOR PURPOSES OF THIS AGREEMENT, THE PRACTICE OF MEDICINE AND COUNSELING INCLUDES, WITHOUT LIMITATION, PSYCHIATRY, PSYCHOLOGY, PSYCHOTHERAPY, OR PROVIDING HEALTH CARE TREATMENT, INSTRUCTIONS, DIAGNOSIS, PROGNOSIS OR ADVICE. You understand and agree that the value you will derive from the Program will be in proportion to the level of effort you put forth, your degree of comprehension, your background, skill, and level of desire and willingness to take action on the information provided, and maybe be influenced due to external factors like world events, market conditions, employment, relationships, and other unknowns. Due to these unknowns and the variability across these factors, there is no way of knowing how well you will do or the results you may achieve, including whether you pass or fail the class. Consequently, the Company      has not, cannot, and will not make any guarantee of success, growth, income, or savings whether explicit or implied. Any past customer experiences or testimonials you may have heard are only examples of what could be obtained but are not promises of actual results. You understand that there are risks associated with your decision and past results do not represent an indication of future success, growth or earnings. You agree that the Company has not, cannot, and will not, make any claims or guarantees of financial, medical, health, or specific results based on the Program. You understand that we offer no professional personal, medical, psychological, legal, therapeutic, or financial advice in this program, and none of the information contained in the Program should be confused as such advice. You understand that the Program and all the products and services offered by the Company or its representatives are for educational, informational, and professional development purposes only. You agree that the Company is not responsible for the success or failure of your actions, relationships, or business decisions relating to any information presented, and by your registering for the program you specifically release the Company and any of its representatives or contractors from liability for any special or consequential damages that result from the use of, or the inability to use, the information or strategies communicated through the Program and its materials and websites, or any services provided prior to or following the Program, even if advised of the possibility of such damages. Under no circumstances, including but not limited to negligence, will the Company be liable for any special or consequential damages that result from your participation or implementation of information provided in the Program.
  1. Indemnification:
You hereby indemnify and hold harmless the Company, its owners, officers, directors, and employees of and from any and claims arising from or related to your use of information gained during the course of the Program.             You understand and agree to defend, indemnify and hold the Company and its officers, directors, and employees harmless from and against all damages, liabilities, costs, losses, expenses, claims, and/or judgments, including legal costs and attorney fees which any of them may incur or become obligated to pay arising out of or resulting from your breach of any representation, warranties, obligations, or duties under this Agreement.  This indemnification shall survive expiration or termination of this Agreement. 
  1. License: 
Your use of, and access to the Program Materials is on a licensed basis. In that regard, the Company hereby grants to you, and you hereby accept, the non-exclusive right, license and privilege to use (but not sublicense) the Program Materials for a one-year period beginning on the first day of the Program session. As of the date of this Agreement, you may gain continuing access to Program Materials through:
  1. Enrollment in a Clinical Application Internship 
  2. Active enrollment in the RWS Alumni Membership
  3. Remaining up to date in the CEU process
If you have elected to terminate this Agreement and request a refund no later than the fourth (4th) day of the Program period, this license terminates immediately upon the effective date of such termination, and you have no further rights to use or access the Program Materials in any fashion. You agree to: (a)   constantly use your best efforts in the use of the Program Materials in a way to protect the good name and goodwill associated with the Program Material and the Company.   (b) not to attack the title of the Company in and to the Program Material nor attack the validity of the license granted hereunder; (c) not harm, misuse or bring into disrepute the Program Material and Company, but to the contrary, will maintain the value and reputation thereof to the best of your ability; (d) at all times comply with all applicable government laws and regulations, and all voluntary industry standards relating or pertaining to the use of the Programs and Materials and shall maintain appropriate customary high-quality standards. You shall also abide by the Company’s suggestions and specifications regarding quality control over the use of the Program Material. The license granted herein does not grant you any right, title or interest, at law or in equity, in or to any of the Company’s trademarks, service marks, copyrights, copyrighted material, or any derivative uses thereof, trade secrets or other rights or intellectual property of any kind, except as provided by said license.  Further, such license applies only to those Program Material   designated herein. You shall not represent to others or conduct yourself in any manner that might indicate to others that you possess any other legal or equitable rights in our Program Material, Trademarks, copyrighted materials, trade secrets or other rights or intellectual property of any kind other than by virtue of the license granted hereunder.  The Company shall have the right to approve all uses of the Program Material or derivative uses thereof. The Company shall have and hereby reserves all rights and remedies which it has, or which are granted to it by operation of law, to enjoin the unlawful or unauthorized use of the Program Material (any of which injunctive relief may be sought in the courts and also may be sought prior to or in lieu of termination), and to be compensated for damages for breach of this Agreement.
  1. Dispute Resolution:
All disputes arising under or concerning this Agreement are to be submitted to binding arbitration, in Newton, MA, to be resolved in accordance with the laws of the state of Massachusetts. You may only resolve disputes with the Company on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding or claims (such as a class action, consolidated action or private attorney general action) unless all relevant parties specifically agree to do so following initiation of the arbitration. My signature below indicates that I have read and fully understand all terms of this agreement, including my responsibilities and assumed risks.  _______ EXHIBIT A (For reference - a separate copy will provided for your signature) STUDENT CODE OF CONDUCT As a valued member of our learning community, we believe in fostering an environment for you where academic integrity, respect, and ethical conduct are paramount. This Student Code of Conduct Agreement outlines the guidelines and expectations we share to ensure a fair and enriching educational experience for all. As a student enrolled in this Program, you are expected to adhere to the following code of conduct to maintain academic integrity. By enrolling in this Program, you agree to abide by the principles outlined below: Collaboration: 
  • Collaboration to understand principles and concepts is encouraged. Students are allowed to form study groups and discuss Program material outside of graded assessments.
  • Quizzes, case study projects, and final exams, however, are individual endeavors. Collaboration is not permitted on these assignments to maintain individual learning and assessment.
     Critical Thinking:
  •      Do not copy and paste content from the transcripts or any other sources verbatim. Instead, express your thoughts, insights, and interpretations in your own words.
Use of technology: 
  • You are free to use technology to aid your learning and academic pursuits during the Program.
  • However, the use of AI-based tools, such as ChatGPT or any other technology designed to generate responses to essay questions, is strictly prohibited. Though a helpful tool in other contexts, AI will only shortchange your learning experience and ability to meaningfully synthesize the material.
Respect for Fellow Learners and Faculty:
  • Treat your peers, instructors, and Program staff with respect and professionalism in all forms of communication, whether it is during class discussions, group projects, in our online forum or via email correspondence. 
Academic Responsibility: 
  • Take personal responsibility for your academic achievements and challenges.
  • Seek help or guidance when needed, and utilize the resources provided by RWS for support.     
  • Be aware of deadlines, submission requirements and standards provided to you on your Student Dashboard and Bulletin Board, and communicated through verbal and written class announcements and updates. 
Intellectual Property and Content Sharing:
  • Respect the intellectual property rights of the Program, its instructors, and Restorative Wellness Solutions, LLC.
  • Do not reproduce, distribute, or share Program materials, including lecture notes, slides, or any copyrighted content, without proper attribution and authorization. This includes sharing material with those enrolled in other RWS programs.  
  • Refrain from teaching or sharing the Program content, concepts, or materials with individuals outside the Program, including professionals or individuals not enrolled in the Program.
By signing this RWS Student Code of Conduct Agreement, you acknowledge that you have read, understood, and agree to abide by the principles outlined herein. We believe that upholding these standards will foster a positive and responsible learning community, where professional excellence and integrity are valued and celebrated.   (Your Name) _________________________________________   (Signature) __________________________________________ (Date) _________________ _______ EXHIBIT B (For reference - a separate copy will provided for your signature) PROFESSIONAL STANDARDS AND CODE OF ETHICS  Introduction For the purposes of this document, the term Restorative Wellness Practitioner (RWP) refers to health professionals who are graduates of Restorative Wellness Solutions, LLC (RWS) educational programs. RWS and its certified professionals strive to maintain the dignity and worth of the individual while rendering nutrition services to others. They strive to provide the highest quality of service and carefully differentiate between safe, validated, and industry-accepted and experimental procedures. They hold themselves responsible for their actions and make every effort to protect their clients’ welfare. Finally, they limit their services to those areas in which they have adequate training, expertise and can exemplify the values of competence, objectivity, freedom of inquiry, and honest communication. RWS Code of Ethics The RWS Code of Ethics is intended to support RWS students and alumni to collectively maintain a high standard of ethical conduct. These codes apply to propriety of conduct in professional relationships with clients, colleagues, members of other health professions, and the public at large.
  • RWPs operate with the intention of improving the nutritional well-being of their clients, their profession, and the greater nutrition community.
  • RWPs continually strive to expand and improve their knowledge, skills, and techniques throughout their career.
  • RWPs operate legally and in accordance with their state, federal or local jurisdictional laws and agree to honor this principle.
  • RWPs agree to practice within their scope of service, according to their primary certification and/or licensure or by law.
  • RWPs agree to honor their agreement to not teach or share RWS curriculum outside of the RWS community of students and alumni.
  • RWPs seek consultation when in doubt or when working with difficult cases and will recognize when a case is beyond their scope of competence or ability.
  • RWPs do not reveal or share the confidences entrusted to them in the course of consultations unless required to do so by law.
  • RWPs promise to guard their clients and themselves against immoral character or unprofessional behavior. They will obey all laws, uphold the dignity of the functional nutrition profession and oppose without hesitation the unethical or illegal conduct of a fellow nutrition professional.
Competence and Scope
  1. RWPs recognize the boundaries of their competence and only use those tools and adjunctive techniques in which they have expertise and within the scope of their primary certification or licensure. RWPs pursue knowledge of updated information and stay current with the latest research and clinical best practices in functional health.
  2. RWPs must accurately describe their qualifications, training, experience, and/or specialty. RWS only certifies individuals who hold proper certification or licensure and only lists these credentials in its directory.
  3. RWPs who work with the tools and techniques learned through the RWS curriculum must maintain their primary certification. RWS certification becomes invalid when a graduate’s primary license or certification is suspended, revoked, or not renewed due to an investigation of a complaint. Once suspended the individual will not be considered by RWS for a re-certification. A licensed professional who is suspended may only apply for re-certification by RWS after the license has been reinstated.
Ethical Standards
  1. RWPs are sensitive to their individual scope of practice and recognize that the violation of these standards may jeopardize the quality of their services, completion of professional responsibilities, and public trust in functional nutrition. Any unlicensed practitioners will not diagnose or treat.
  2. RWPs only charge for services actually provided by them or by those under their legal supervision.
  3. RWPs uphold their agreement to maintain confidentiality regarding RWS curriculum. RWS practitioners agree they will not train other practitioners in the methodologies and toolkit they obtained through RWS. Practitioners operating under their supervision who perform skills and techniques taught by RWS must be RWS graduates.
  4. RWPs will obtain written informed consent from every client, outlining the services they can legally provide within their scope of practice.
Confidentiality RWS practitioners protect the confidentiality of their clients’ data. They may only release information with the written consent of the client or the client's legal representative, or when nondisclosure would endanger the client or others.  Multiculturalism and Diversity
  1. RWPs are encouraged to recognize that, as cultural beings, they may hold attitudes and beliefs that can detrimentally influence their perceptions of and interactions with individuals who are different from themselves ethnically, racially, in religion or faith, in sexual orientation, or gender identity.
  2. RWPs are encouraged to recognize the importance of multicultural sensitivity/responsiveness to, knowledge of, and understanding about individuals who are different ethnically, racially, in sexual orientation, or gender identity.
  3. RWPs are encouraged to apply culturally appropriate skills in clinical practice.
Professional Relationships RWPs recognize the interdisciplinary nature of functional nutrition and respect the competencies of colleagues in all professions. They strive to act in accordance with the obligations of the organizations with which they and their colleagues are associated. They:
  1. Strive to be objective in their professional judgment of colleagues and to maintain good professional relationships even when opinions differ.  RWPs respect their colleagues and do not speak ill of other health professionals.
  2. Avoid multiple fiduciary relationships with their clients that could impair their professional judgment or increase the risk of exploitation.
  Ethics Complaints   When RWS receives a written complaint about the ethical conduct of an RWP, student, or applicant, RWS will record the complaint and will perform a formal review of the individual and situation. Any individual found in violation of these standards or ethics will be removed from the RWS community and legal action, when appropriate, will be considered.   Signature _______________________________    Date___________________________________
